These Terms of Service (“Terms”) govern your access to and use of The Automated Attorney website, resources, and YouTube-linked content (collectively, the “Services”). By using the Services, you agree to be bound by these Terms and our Privacy Policy.

If you use the Services on behalf of an organization, you represent that you have authority to bind that organization and consent to these Terms on its behalf.

2. The Automated Attorney Is Not a Law Firm

The Automated Attorney is a software platform, not a law firm, and does not provide legal advice, legal representation, or attorney-client services. AI-generated output — including contract analysis, drafts, research summaries, and compliance alerts — is a work product aid only and must be reviewed, verified, and approved by a licensed attorney before use or reliance.

Use of the Services does not create an attorney-client relationship between you and The Automated Attorney or any of its employees, contractors, or affiliates.

3. Accounts and Eligibility

To use the Services, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

The Services are intended for licensed attorneys, law firms, in-house legal departments, paralegals, and authorized legal professionals. We may suspend or terminate accounts that violate these Terms or that we reasonably believe were created using false or misleading information.

4. Acceptable Use

You agree not to use the Services to:

• Violate any applicable law, regulation, or professional rule of conduct.
• Upload, process, or share privileged or confidential information without proper authorization.
• Generate or distribute misleading, fraudulent, or harmful content.
• Reverse engineer, scrape, or attempt to gain unauthorized access to the platform.
• Interfere with the integrity, security, or performance of the Services.

5. Subscriptions, Fees, and Billing

The Services are provided for informational purposes. We do not currently sell subscriptions, software licenses, or paid plans through this website. Any future paid offerings will be governed by separate terms presented at the time of purchase.

6. Intellectual Property

The Automated Attorney and its licensors retain all ownership rights in the platform, software, designs, trademarks, and content we provide. You retain ownership of documents and materials you upload, subject to the limited license needed to operate the Services for you.

You may not use our trademarks, logos, or branding without our prior written consent.

7. Confidentiality and Data

We treat your uploaded data and output as confidential in accordance with our security practices and any applicable confidentiality obligations. You are responsible for ensuring that you have the right to upload any client, firm, or third-party data to the platform and for informing your clients as required.

8. Limitation of Liability

To the fullest extent permitted by law, The Automated Attorney and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or data loss, arising from or relating to your use of the Services.

Our total liability for any claim arising from the Services shall not exceed the amount you paid us in the twelve months preceding the event giving rise to the claim, or one hundred dollars, whichever is greater.

9. Indemnification

You agree to indemnify and hold harmless The Automated Attorney and its affiliates, officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of your use of the Services, your uploaded content, or your violation of these Terms.

10. Termination

You may terminate your account at any time by following the instructions in your account settings. We may suspend or terminate your access if you violate these Terms or if we discontinue the Services.

Upon termination, your right to use the Services ceases, and we may delete your data in accordance with our data retention practices and legal obligations.

11. Changes to These Terms

We may modify these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and updating the effective date. Continued use of the Services after changes constitutes acceptance of the revised Terms.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law provisions. Any dispute arising from these Terms or the Services will be resolved exclusively in the state or federal courts located in Delaware, and you consent to the jurisdiction of those courts.
